1. Acceptance of Terms
These Terms & Conditions constitute a legally binding contract between you (whether personally or on behalf of an entity you represent) and Hyna Studio, regarding your access to our website and any digital software, design, or custom development services provided by our studio.
By engaging Hyna Studio for services or accessing this site, you acknowledge that you have read, understood, and agreed to be bound by these terms. If you disagree, you must cease use of our services immediately.
2. Intellectual Property Rights
Unless explicitly specified in a signed project contract, the ownership of intellectual property works is structured as follows:
- Studio Background Tech: All custom code scripts, design frameworks, templates, and pre-existing tools used by Hyna Studio remain the sole property of Hyna Studio.
- Client Deliverables: Upon final clearance of all invoice amounts, full ownership and rights of the customized codebase, graphics design, and Figma assets created specifically for the project are transferred to the client.
3. Client Responsibilities & Data Scoping
Clients agree to provide complete, accurate, and timely parameters, contents, digital files, and feedback requested by our engineering team to stay aligned with the agreed project timeline. Hyna Studio is not liable for project launch delays caused by missing client assets or communication response lapses exceeding 5 business days.
4. Project Milestones & Retainers
All client payments are scheduled in advance or based on milestone deliverables (e.g. 1. Strategy & Figma Design, 2. Development, 3. Testing & Launch) outline. Each milestone requires digital client sign-off before proceeding to next phase.
Interest or administration fees may apply to delayed invoice balances after 10 days of milestone delivery notification.
5. Limitation of Liability
Hyna Studio, its founders, and team members shall not be held liable for any indirect, incidental, special, or consequential damages resulting from website downtime, server database issues, database configuration choices, or marketing conversions results after launch.
6. Termination of Service
Either party may terminate a project engagement under written notice if a material breach of agreement occurs. If termination is initiated by the client, payment for all completed hours and approved milestones up to the termination date remains due.
7. Governing Law
These Terms & Conditions and your engagement with Hyna Studio shall be governed by and constructed in accordance with the laws of Tamil Nadu, India, without regard to its conflict of law principles. Any legal actions must be initiated in courts located in Nagercoil, Kanniyakumari, India.
8. Modifications to Terms
We reserve the right to amend these terms at any time. We will indicate changes by updating the top header or notification links, and continued engagement after modifications constitutes your acceptance of the updated terms.
